What this agreement covers
- Definition of confidential information
- What counts as confidential, and the standard carve-outs — information already public, independently developed, or lawfully received from a third party.

- The narrow purpose the information may be used for, so it can't quietly be repurposed for something else.

Non-disclosure agreement questions
Yes. An NDA is an ordinary contract, and Nigerian courts enforce it where there is offer, acceptance, consideration and an intention to create legal relations. The Evidence Act 2011 admits electronic signatures and electronic records as evidence, so a properly executed digital NDA stands alongside a paper one.
Use mutual when both sides will share something sensitive, which is the usual case between two businesses. A one-way NDA is appropriate when only you are disclosing — briefing a contractor, for example. Mutual agreements tend to get signed faster because they feel even-handed.
Two to five years covers most commercial situations. Anything genuinely a trade secret — a formula, an algorithm, a source list — is often stated to remain confidential for as long as it stays secret, rather than expiring on a fixed date.
