Consulting agreement questions

Yes. Advisers are exposed to claims far larger than their fee, and a cap at fees paid over the preceding twelve months is a normal, widely accepted term. Clients rarely push back on it when it is framed as standard.

A retainer suits ongoing advice where the work varies month to month; a project fee suits a defined outcome. Retainers are more predictable for both sides, but should state what happens to unused time.

Only if the agreement allows it. Say so explicitly either way — an unspoken assumption here damages relationships more than almost any other omission.
